1. Purpose and Scope
These Terms govern the participation of ecological projects (“Missions”) on the Terry platform, operated by Terry B.V., a private limited liability company registered in the Netherlands (KvK 98707035 | RSIN 868607885), with its registered address at Amsterdamsevaart 24, 2032 EB Haarlem, The Netherlands.
By providing your organization’s materials or by being featured on Terry, you acknowledge that you have read, understood, and agreed to these Terms.
The goal of this partnership is to allow your Mission to receive donations generated through Terry’s platform when users shop with partner brands. No fees or financial commitments are required from the Mission.
In this document, the term “donation” refers to the share of affiliate commissions that Terry allocates to Missions. These are not charitable donations under Dutch or EU tax law.
2. How Donations Work
(a) When a user makes a purchase through a partner brand, Terry receives an affiliate commission from the brand or its affiliate network.
(b) Of each commission received on behalf of a Mission:
• 50% is allocated as a donation to the Mission, and
• 50% is retained by Terry to cover operational, technological, and administrative expenses.
(c) Donations are based only on confirmed transactions:
• Pending – awaiting validation or payment by the affiliate network.
• Confirmed – validated and paid to Terry.
• Declined – cancelled, returned, or rejected.
Only confirmed and paid transactions are eligible for donation.
(d) Terry acts solely as an intermediary between affiliate networks and the Mission. Donations depend on third-party reporting and payments.
(e) Terry cannot guarantee that every user purchase will result in a donation.
3. Payments and Threshold
Donations are transferred to Missions quarterly, provided that the total confirmed balance equals or exceeds €50.
If the balance is below €50, it rolls over to the next quarter.
Terry may, at its discretion, process smaller amounts to newly onboarded Missions for engagement purposes.
All transfers are made net of transaction or banking fees applied by the payment provider.
4. Selection and Participation
Terry reviews each Mission before inclusion and may request additional information or documentation.
Terry reserves the right to decline or remove any Mission that does not align with its environmental, ethical, or transparency standards.
Participation does not create any financial or operational obligation beyond what is stated herein.
5. Use of Name, Logo, and Materials
Missions authorize Terry to use their name, logo, description, and visuals for communication, marketing, and fundraising activities related to the platform.
Terry will use this material responsibly and only to represent the Mission’s involvement in the platform.
6. Transparency and Receipts
Terry commits to transparent reporting on donations received and distributed.
Missions agree to provide a digital acknowledgment or receipt for each donation within 30 days of payment.
7. Portfolio Inclusion
The Terry Portfolio is a curated collection of high-impact projects featured collectively to maximize reach and efficiency.
Inclusion in the Portfolio is optional and determined by Terry based on impact, transparency, and diversity of action areas.
Missions included in the Portfolio may receive an additional share of funds generated by users supporting the collective Portfolio, according to Terry’s internal allocation criteria.
8. Liability and Limitations
Terry B.V. acts as an intermediary in passing on donations generated through affiliate commissions.
Terry is not responsible for:
• delays or non-payments by affiliate networks or partner brands,
• temporary technical interruptions, or
• any indirect or consequential loss.
Each Mission is responsible for providing valid banking details and ensuring that receiving payments from Terry does not conflict with its legal or fiscal obligations.
Terry may support registered organizations, informal initiatives, or companies with an environmental or social purpose.
9. Termination
These Terms remain valid until either party decides to discontinue participation.
Missions may request removal from the Terry platform at any time by emailing hello@terry.earth.
Terry may remove or suspend a Mission if it no longer aligns with the platform’s values, fails to meet transparency requirements, or violates these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands.
Any dispute shall fall under the exclusive jurisdiction of the courts of Amsterdam.
